Terms & Conditions for How Much (Shop Mini)

1. About the Mini

How Much is a quiz-style Mini that lets you guess the prices of products listed in the Shop app. The Mini hides the product price and instead shows information such as the product image, title, and review count so that you can try to pick the correct price from choices.

Even if you do not guess the exact price, you may still earn points when your answer is close to the actual price.

The Mini:

Runs entirely inside the Shop app using Shopify’s Shop Minis SDK.
Does not process payments or complete purchases. All purchases are made through the Shop app and the relevant merchant’s checkout.
Does not change product prices, availability, discounts, or any other information managed by merchants or Shopify.
May display links that take you to the relevant product page in the Shop app or the merchant’s store.
May offer a simple “favorites” or “save for later” feature so that you can remember products you liked, but this does not affect how products are sold.

2. Eligibility

You may use the Mini only if:

You are legally allowed to use the Shop app in your jurisdiction; and
You comply with all applicable laws and the Shop app / Shopify terms, policies, and guidelines that apply to your use of Shop and Shop Minis.

If you use the Mini on behalf of a company or organization, you represent that you have authority to bind that entity to these Terms.

3. Your Use of the Mini

You agree that you will:

Use the Mini only for its intended purpose: configuring and running product searches inside the Shop app.
Provide accurate information when using the Mini.
Comply with all laws and regulations that apply to you.

You agree that you will not:

Use the Mini for any illegal, infringing, harmful, or abusive purpose.
Attempt to reverse engineer, decompile, or otherwise access the Mini’s source code.
Interfere with or disrupt the operation of the Mini, the Shop app, or Shopify’s services.
Use the Mini to track users across different services, build advertising profiles, or engage in targeted advertising.

4. Data & Privacy

Your use of the Mini is also governed by our Privacy Policy, available at:

In summary (non-exhaustive):

The Mini may store your saved search filters and preferences so that you can reuse them later (for example: keyword, price range, rating, color, category, and other search criteria).
We only access data that is necessary for the Mini’s core functionality and that is exposed via the Shop Minis SDK or entered by you directly.
We do not process payments, collect credit card numbers, or collect shipping / billing addresses.
We do not sell or rent your data.

If there is any inconsistency between this section and the Privacy Policy, the Privacy Policy will prevail for matters related to the handling of personal data.

5. Relationship with Shopify and Merchants

The Mini operates inside the Shop app, which is owned and operated by Shopify. We are independent from Shopify and not part of Shopify Inc.
Products shown when you use the Mini are offered by independent merchants, not by us.
Any purchase, return, refund, shipping, or customer support request is a matter between you and the merchant and is governed by the merchant’s terms and the policies of the Shop app / Shopify.

We do not control:

Product availability, prices, delivery times, stock levels, or product descriptions.
How merchants fulfill, cancel, or refund orders.

Always check the details on the merchant’s page before you purchase.

6. Fees and Payments

We do not charge you a separate fee to use the Mini.
All payments related to product purchases are handled through the Shop app and Shop Pay, according to Shopify’s rules and the merchant’s terms.

7. Intellectual Property

We (or our licensors) own all rights, title, and interest in and to:

The Mini itself, including its design, code, and features.
Our trademarks, logos, and branding used in or in connection with the Mini.

You are granted a limited, non-exclusive, non-transferable, revocable license to use the Mini inside the Shop app for personal, non-commercial shopping purposes (or for your own business shopping, as applicable). No other rights are granted.

Nothing in these Terms gives you the right to:

Copy, modify, distribute, or create derivative works of the Mini.
Use our name, logo, or brand in a way that suggests endorsement without our prior written consent.

8. Third-Party Content and Links

The Mini may display:

Product information and images provided by merchants via Shopify.
Other content made available by Shopify or third parties.

We do not endorse, control, or guarantee the accuracy, completeness, or reliability of any third-party content.

Where any third-party content is shown, it remains subject to Shopify’s and the merchant’s own terms and policies.

9. No Warranty (Disclaimer)

To the fullest extent permitted by law, the Mini is provided on an “as is” and “as available” basis, without any warranties of any kind, whether express or implied.

We do not guarantee that:

The Mini will be uninterrupted, secure, or error-free.
Search results will always be accurate, complete, or up-to-date.
Any particular product will meet your expectations or be available for purchase.

Any reliance you place on search results or recommendations from the Mini is at your own risk.

10. Limitation of Liability

To the maximum extent permitted by law, we will not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits, revenue, data, goodwill, or opportunity, arising out of or in connection with your use of (or inability to use) the Mini, even if we have been advised of the possibility of such damages.

Where liability cannot be excluded under applicable law, our total aggregate liability to you for all claims arising out of or relating to the Mini will be limited to the total amount of Mini Fees you have paid to us for your use of the Mini in the six (6) months immediately preceding the event giving rise to the claim, if any.

For the purposes of this clause, “Mini Fees” means any fees paid by you directly to MeeFa, Inc. for access to or use of the Mini itself, and expressly excludes any amounts you pay to merchants or to Shopify for products, services, shipping, taxes, or other charges processed via the Shop app (which are outside our control). As of today, we do not charge you a separate fee to use the Mini, so the Mini Fees are typically zero.

11. Indemnification

You agree to indemnify, defend, and hold harmless MeeFa, Inc. and its owners, directors, and collaborators from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or related to:

Your use of the Mini;
Your violation of these Terms; or
Your violation of any applicable law or the rights of a third party.

12. Suspension and Termination

We may, at any time and without notice, suspend, limit, or terminate your access to the Mini, in whole or in part, if:

we reasonably believe you have violated these Terms or applicable law; or
Shopify removes or disables the Mini from the Shop app; or
we decide to discontinue the Mini or all or part of our business, including as a result of restructuring, dissolution, insolvency, or a merger, acquisition, or sale of business or assets.

You may stop using the Mini at any time by simply no longer accessing it in the Shop app.

Except to the extent required by applicable law, we will not be liable to you for any modification, suspension, or termination of the Mini in accordance with this section.

13. Force Majeure

We will not be liable for any failure or delay in the performance of our obligations under these Terms to the extent caused by circumstances beyond our reasonable control, including but not limited to natural disasters, war, terrorism, riots, embargoes, acts of government, changes in laws or regulations, strikes or other labour disputes, power outages, failures of telecommunications or internet services, failures of hosting or cloud providers, or outages or changes to the Shop app or Shopify’s services.

During any period in which such a force majeure event continues, we may suspend, limit, or modify the Mini in whole or in part. We will use reasonable efforts to resume normal operation once the force majeure event has ended, but we do not guarantee any particular timeline for doing so.

14. Changes to the Mini and These Terms

We may update the Mini (for example, to add features, fix bugs, or improve performance) at any time.

To the extent permitted by applicable law, we may update these Terms from time to time at our discretion, including without prior notice to you. When we do so, we will post the updated Terms and update the “Effective date” at the top of this page. Your continued use of the Mini after the Terms are updated will constitute your acceptance of the updated Terms.

If you do not agree with the updated Terms, you must stop using the Mini.

15. Governing Law and Jurisdiction

These Terms are governed by the laws of Japan, without regard to its conflict of law principles.

Any dispute arising out of or in connection with these Terms or your use of the Mini shall be submitted to the exclusive jurisdiction of the Tokyo District Court as the court of first instance.

If you are a consumer and mandatory consumer protection laws in your country require different rules regarding governing law or jurisdiction, those mandatory rules will prevail to the extent they apply.

16. Assignment

We may assign or transfer our rights and obligations under these Terms, in whole or in part, to any affiliate or in connection with a merger, acquisition, reorganization, or sale of business or assets, without prior notice to you. You may not assign or transfer these Terms or any of your rights or obligations hereunder without our prior written consent.
